Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 30, 2023, Hussain Baig, a Class III director of the board of directors (the “Board”) of Nogin, Inc. (the “Company”), resigned as a member of the Board and its Audit Committee and Compensation Committee, effective as of October 30, 2023. Mr. Baig’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.

Following Mr. Baig’s departure, the Board consists of six directors, four of whom are independent.
